Terms and conditions

1. Who we are
“FiledOnTime”, “we”, “us” and “our” mean the FiledOnTime service, operated by RWB Digital, a trading name of Christopher Goodchild, of 35 Farne Way, Royal Wootton Bassett, SN4 8LX. “You” means the person or business holding an account. By creating an account you agree to these terms.

2. What the service does
FiledOnTime reads publicly available information from the Companies House register for the limited companies you add to your account, works out when certain deadlines fall, and sends you reminders before them. Where you enter information yourself, such as a VAT filing cadence, we calculate dates from what you have told us.
What it does not do
- It does not carry out identity verification under the Economic Crime and Corporate Transparency Act, or any other identity check.
- It does not file confirmation statements, accounts, VAT returns or anything else.
- It does not provide accountancy, tax or legal advice.
- It does not monitor anything you have not added to your account.
3. Accuracy of dates
Dates come from the Companies House public register, which is maintained by Companies House and not by us. We re-read the register regularly, but the information we hold reflects what the register said when we last read it, and the register itself may be incomplete, out of date or wrong.
You must not rely on FiledOnTime as your only record of a filing deadline. Always confirm a date against the register or your own records before acting on it, or before deciding not to act.
4. Your account
You are responsible for keeping your login details secure and for everything done under your account. Tell us promptly if you believe someone else has gained access.
Where your plan includes more than one seat, you are responsible for the people you invite. Where you use the client portal, you are responsible for who you send portal links to, and for revoking access when it is no longer appropriate.
5. Subscriptions and payment
Plans are billed monthly in advance through Stripe. Current prices are Solo £5, Practice £19, Growth £49 and Agency £99 per month. Optional add-ons are charged in addition, including the white-label client portal at £50 per month for the whole account.
We are not VAT registered, so no VAT is added. The price you see is the price you pay.
If a payment fails we may retry it. If it continues to fail, your account falls back to the smallest plan allowance rather than being closed, so you do not lose sight of a deadline because of a billing problem. You will not be able to add further companies or people until payment succeeds.
6. Cancellation and refunds
You can cancel at any time from the billing portal in your account. Cancellation takes effect at the end of the period you have already paid for, and you keep access until then.
We do not offer refunds. We do not refund part-months, unused time on a plan, add-ons, or periods during which you did not use the service. If you cancel part way through a month, no proportion of that month is returned to you.
Where you change plan or add-ons mid-month, Stripe adjusts the amount charged for the remainder of that period. That is a change to what you are billed going forward, not a refund.
Nothing in this section limits any right you may have to cancel that cannot be excluded by law. If you are a consumer rather than a business, you may have a statutory right to cancel within 14 days of first subscribing; by starting to use the service within that period you agree that we may begin providing it immediately, and you accept that this may reduce or remove that right.
7. Availability
We aim to keep the service available and reminders going out on time, but we do not guarantee uninterrupted availability. The service depends on third parties including Companies House, our hosting provider and our email provider, and may be affected when they are unavailable, rate limit us, or change how they work.
We may carry out maintenance, and may change or discontinue features. If we make a change that materially reduces what your plan provides, you may cancel.
8. Acceptable use
You must use the service lawfully and in line with our acceptable use policy. In particular, you must only add companies you have a legitimate reason to monitor, and must not use the service to systematically extract data from the Companies House register.
9. Your data
How we handle personal data is set out in our privacy policy. You keep ownership of the information you put into the service. You can delete a company, or your account, at any time.
10. Limitation of liability
Nothing in these terms limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited.
Subject to that, and because this is a reminder service rather than a filing service, we are not liable for:
- penalties, interest, fines or other charges arising from a late, incorrect or missed filing;
- the consequences of a company being struck off, or of any regulatory action;
- dates being wrong, missing or out of date in the Companies House register itself;
- a reminder not arriving, arriving late, or being filtered by your email provider;
- loss of profit, business, goodwill or anticipated savings.
Our total liability to you in any twelve-month period, for all claims taken together, is limited to the amount you paid us for the service in that period.
This allocation of risk is reflected in the price. A service costing a few pounds a month cannot underwrite the penalties associated with a missed statutory filing, and does not claim to.
11. Suspension and termination
We may suspend or close an account that breaches these terms or our acceptable use policy, that is used unlawfully, or where payment has not been made. Where it is reasonable to do so we will tell you first and give you a chance to put things right.
12. Changes to these terms
We may update these terms. Where a change materially affects you we will tell you by email before it takes effect. Continuing to use the service after that means you accept the updated terms.
13. Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
